Dear RIPE NCC member, In compliance with the RIPE NCC Articles of Association (AoA), the RIPE NCC is calling for nominations to the RIPE NCC Executive Board. The vacant seat is for one three-year term and is to fill the place currently held by Dmitri Burkov, whose term expires in April 2012. Nominations ----------- A nomination for the appointment of a member of the Executive Board requires the written support of at least five members. You must be a RIPE NCC member and a registered LIR contact to support a nomination. Nomination submissions should include the following information: - Your full name - Your organisation - Your LIR RegID - Name of the candidate you wish to support Nominations must be submitted by email to <agm-nominations at ripe.net> by Wednesday, 28 March 2012 following the guidelines outlined in article 9 of the RIPE NCC Articles of Association. Excerpts from the Articles of Association are available at the end of this email. Voting ------ Voting for the appointment of the RIPE NCC Executive Board member will take place at the upcoming RIPE NCC General Meeting (GM). The GM will be held on Wednesday, 18 April from 16:00-20:00 (UTC +2), at the Grand Union Hotel in Ljubljana, Slovenia, adjacent to the RIPE 64 Meeting, which runs from 16-20 April 2012. You must be registered for the GM if you wish to attend and vote in the Executive Board election. Registration for the GM opens on 7 March 2012. Information on the GM is available at: https://www.ripe.net/lir-services/ncc/gm/april-2012/ripe-ncc-general-meeting-april-2012 If you would like to vote but cannot attend the GM, there are two options that enable you to vote in the Executive Board elections: 1. Electronic Voting All RIPE NCC members who are registered contacts will be sent invitations by email to register to vote electronically at the GM. If you wish to vote electronically, you must register to do so by 17 April 2012. 2. Proxy Voting You can be represented by a third party who is not an authorised employee or director of your organisation. If you wish to do this, please fill out the proxy form and send it to us using the details on the form by 4 April 2012. Any proxy sent to us after this date will not be valid. Best regards, Axel Pawlik Managing Director RIPE NCC Important Dates 22 February - Call for nominations for RIPE NCC Executive Board seat 7 March - GM registration opens 7 March - Registration for electronic voting opens 14 March - Draft agenda and proposed resolutions posted online 14 March - Registration for electronic voting opens 28 March - Deadline for nominations for Executive Board * 4 April - Deadline for proxy forms to be received by RIPE NCC 4 April - Submission deadline for proposed resolutions 17 April - Deadline to register for electronic voting 18 April - RIPE NCC General Meeting * If there are fewer than two nominated candidates by 28 March 2012, the RIPE NCC Executive Board will nominate sufficient candidates to ensure there is an election. Excerpts from the RIPE NCC Articles of Association: Article 8.2 The Executive Board of the Association shall consist of at least three and at most five natural persons. They shall be members of the Board in a personal capacity and do not have to be Members of the Association. Employees of the Association cannot be appointed members of the Executive Board. Article 9.1 The members of the Executive Board shall be appointed by the General Meeting from a list of nominees to be drawn up by the Members. A nomination for the appointment of a member of the Executive Board shall need the written support of at least five Members and shall be submitted no later than three weeks before the General Meeting. If three weeks before the General Meeting the number of candidates nominated for appointment as referred to above does not exceed the number of vacancies, the Executive Board shall have to nominate one or more candidates for appointment so that the total number of proposed candidates shall exceed the number of Executive Board members to be appointed by the General Meeting. Article 9.2 If the members or the Executive Board should fail to draw up a list of nominees within three months after the vacancy has occurred, the General Meeting may appoint a member of the Executive Board at its own discretion.
